1. ACCEPTANCE OF TERMS

Welcome to FEODIS® (“Company,” “we,” “us,” or “our”). These Terms of Use (“Terms,” “Terms of Use,” or “Agreement”) govern your access to and use of the FEODIS® website located at www.feodis.app (the “Site”), our mobile applications, and all related services, features, content, and functionality offered by FEODIS (collectively, the “Services”).

BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. If you do not agree to all of these Terms, you may not access or use our Services.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Site with a revised “Last Updated” date. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

 

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 Eligibility

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use our Services. By using our Services, you represent and warrant that:

You are at least 18 years old
You have the legal capacity to enter into a binding contract
You are not barred from using the Services under applicable laws
You have not been previously suspended or removed from our Services

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

Violation of these Terms
Fraudulent or illegal activity
Extended periods of inactivity
Requests by law enforcement or government agencies
 

3. LICENSE TO USE SERVICES

3.1 Grant of License

Subject to your compliance with these Terms, FEODIS grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our Services for your personal, non-commercial use (or internal business use, as applicable).

3.2 License Restrictions

You agree NOT to:

Use the Services for any illegal or unauthorized purpose
Copy, modify, distribute, sell, lease, or create derivative works of the Services
Reverse engineer, decompile, or disassemble any portion of the Services
Interfere with or disrupt the integrity or performance of the Services
Attempt to gain unauthorized access to the Services or related systems
Use any automated means (bots, scrapers, spiders) to access the Services
Remove or alter any proprietary notices or labels on the Services
Use the Services to transmit malware, viruses, or other harmful code
Harass, abuse, or harm another person through the Services
Impersonate any person or entity or misrepresent your affiliation

3.3 Reservation of Rights

All rights not expressly granted to you in these Terms are reserved by FEODIS. The license granted herein does not transfer any ownership rights in the Services.

 

4. USER CONTENT

4.1 Definition

“User Content” means any content, materials, data, text, images, videos, audio, or other information that you submit, post, upload, or otherwise make available through the Services.

4.2 Ownership

You retain all ownership rights in your User Content. However, by submitting User Content to our Services, you grant FEODIS a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with operating and providing the Services.

4.3 Representations and Warranties

You represent and warrant that:

You own or have the necessary rights to your User Content
Your User Content does not violate any third-party rights (copyright, trademark, privacy, publicity, or other)
Your User Content does not contain defamatory, obscene, or unlawful material
Your User Content complies with all applicable laws and regulations

4.4 Prohibited Content

You may not submit User Content that:

Is unlawful, harmful, threatening, abusive, harassing, defamatory, or obscene
Infringes any patent, trademark, trade secret, copyright, or other intellectual property rights
Violates the privacy or publicity rights of any person
Contains viruses, malware, or other harmful code
Constitutes unsolicited or unauthorized advertising or spam
Impersonates any person or entity
Contains hate speech or promotes discrimination

4.5 Content Monitoring and Removal

We reserve the right (but not the obligation) to:

Monitor User Content for compliance with these Terms
Remove or refuse to post any User Content for any reason
Investigate violations of these Terms
Cooperate with law enforcement authorities
 

5. INTELLECTUAL PROPERTY RIGHTS

5.1 FEODIS Intellectual Property

The Services and all content, features, and functionality thereof (including but not limited to text, graphics, logos, icons, images, audio clips, software, and code) are owned by FEODIS or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Trademarks

“FEODIS,” the FEODIS logo, and all related names, logos, product and service names, designs, and slogans are trademarks of FEODIS or its affiliates. You may not use such marks without our prior written permission.

5.3 Feedback

If you provide FEODIS with any feedback, suggestions, ideas, or other information (“Feedback”), you grant FEODIS a perpetual, irrevocable, royalty-free license to use such Feedback for any purpose without compensation to you.

 

6. THIRD-PARTY SERVICES AND LINKS

6.1 Third-Party Links

Our Services may contain links to third-party websites, services, or resources. We are not responsible for:

The content, accuracy, or opinions expressed on third-party sites
The privacy practices of third-party sites
Any damages or losses caused by your use of third-party sites

6.2 Third-Party Integrations

Certain features of our Services may integrate with third-party platforms (e.g., social media, payment processors). Your use of such integrations is subject to the third party’s terms and policies.

7. PAYMENT TERMS

7.1 Fees

Certain features of our Services may require payment of fees. All fees are quoted in U.S. dollars unless otherwise stated and are exclusive of applicable taxes.

7.2 Payment Processing

We use third-party payment processors to handle transactions. By making a payment, you agree to the payment processor’s terms of service and privacy policy.

7.3 Subscriptions

If you purchase a subscription:

Your subscription will automatically renew at the end of each billing period unless canceled
You authorize us to charge your payment method for renewal fees
You may cancel your subscription at any time through your account settings
No refunds will be provided for partial billing periods

7.4 Price Changes

We reserve the right to change our fees at any time. We will provide reasonable notice of any price changes before they take effect.

7.5 Free Trials

We may offer free trials of paid features. At the end of the trial period, you will be automatically charged unless you cancel before the trial ends.

 

8. DISCLAIMERS AND LIMITATIONS OF LIABILITY

8.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, FEODIS disclaims all warranties, including but not limited to:

Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
Warranties that the Services will be uninterrupted, timely, secure, or error-free
Warranties regarding the accuracy, reliability, or completeness of any content
Warranties that defects will be corrected

8.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FEODIS, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO:

Direct, indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or goodwill
Personal injury or property damage
Damages arising from unauthorized access to your account
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF:

The amount you paid to FEODIS in the 12 months preceding the claim, or
One hundred U.S. dollars ($100.00)

8.3 Exclusions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. The above limitations may not apply to you.

 

9. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless FEODIS and its affiliates, licensors, service providers, employees, agents, officers, and directors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

Your violation of these Terms
Your User Content
Your use of the Services
Your violation of any third-party rights
Your violation of any applicable law or regulation
 

10. TERMINATION

10.1 Termination by You

You may terminate your account at any time by following the instructions on the Site or by contacting us at [email protected].

10.2 Termination by FEODIS

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:

Breach of these Terms
Fraudulent or illegal activity
Extended periods of inactivity
Requests by law enforcement or government agencies

10.3 Effect of Termination

Upon termination:

Your right to use the Services will immediately cease
We may delete your account and User Content
Provisions that by their nature should survive termination will survive
You remain liable for all amounts due prior to termination
 

11. GOVERNING LAW AND DISPUTE RESOLUTION

11.1 Governing Law

These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of [Jurisdiction — to be specified], without regard to its conflict of law provisions.

11.2 Informal Resolution

ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED THROUGH BINDING ARBITRATION conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. CLASS ACTION WAIVER: You agree that any arbitration or legal proceeding will be conducted only on an individual basis and not in a class, consolidated, or representative action.

11.4 Exceptions to Arbitration

The arbitration agreement does not apply to:

Small claims court actions

11.5 Opt-Out

12. COPYRIGHT INFRINGEMENT AND DMCA POLICY

12.1 DMCA Notice

FEODIS respects the intellectual property rights of others. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide our designated Copyright Agent with the following information:

A physical or electronic signature of the copyright owner or authorized agent
Identification of the copyrighted work claimed to have been infringed
Identification of the material that is claimed to be infringing and its location
Your contact information (address, telephone number, email)
A statement that you have a good faith belief that the use is not authorized
A statement that the information is accurate and that you are authorized to act on behalf of the copyright owner

12.3 Counter-Notice

If you believe your content was removed in error, you may submit a counter-notice containing:

Your physical or electronic signature
Identification of the removed material and its prior location
A statement under penalty of perjury that you have a good faith belief the removal was a mistake
Your contact information and consent to jurisdiction
 

13. DIGITAL MILLENNIUM COPYRIGHT ACT (DMCA) SAFE HARBOR

FEODIS complies with the provisions of the Digital Millennium Copyright Act (DMCA). We will respond to valid DMCA takedown notices and implement a repeat infringer policy.

 

14. EXPORT CONTROL AND SANCTIONS

You represent and warrant that:

You are not located in a country subject to U.S. government embargo or designated as a “terrorist supporting” country
You are not listed on any U.S. government list of prohibited or restricted parties
You will not use the Services for any purpose prohibited by U.S. export laws and regulations
 

15. FORCE MAJEURE

FEODIS shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to:

Acts of God, natural disasters, or pandemics
War, terrorism, riots, or civil unrest
Government actions or regulations
Internet or telecommunications failures
Labor disputes or strikes
 

16. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

 

17. WAIVER

No waiver of any provision of these Terms shall be effective unless in writing and signed by the waiving party. No failure or delay in exercising any right shall operate as a waiver thereof.

 

18. ASSIGNMENT

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. FEODIS may assign these Terms without restriction. Any attempted assignment in violation of this section shall be void.

 

19. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and FEODIS regarding the Services and supersede all prior or contemporaneous agreements, understandings, and communications.

21. REGIONAL PROVISIONS

21.1 California Residents

21.2 European Economic Area (EEA) and United Kingdom

If you are located in the EEA or UK, additional provisions of our Privacy Policy apply to the processing of your personal data.

“User Content” means any content submitted by users through the Services
